Dangote Refinery Raises $2.5bn in Africa’s Largest Disclosed Private Equity Placement

Dangote Petroleum Refinery and Petrochemicals FZE (DPRP) has secured approximately $2.5 billion in fresh equity through a landmark private equity placement, in what is believed to be Africa’s largest publicly disclosed primary equity private placement.

The successful capital raise marks a major milestone for the company and reflects growing investor confidence in the refinery’s long-term expansion strategy, operational performance and role in strengthening Africa’s energy security.

In a statement made available to journalists, the company described the transaction as its first equity funding round involving external investors beyond its legacy shareholder base, signalling increasing global confidence in the refinery as a world-class energy and industrial enterprise.

According to the statement, the funds raised will be used to support the continued expansion of the refinery and petrochemical complex, reinforce the company’s capital structure and provide greater financial flexibility to pursue future growth opportunities.

The offering attracted strong interest from a broad spectrum of investors, including international and African institutional investors, sovereign-related investment vehicles, development finance institutions, strategic partners and individual investors.

Among the notable investors were the Africa Finance Corporation (AFC) and India Infra Buildco, an investment vehicle facilitated by the African Export-Import Bank (Afreximbank), highlighting what the company described as deep and diversified confidence in the refinery’s long-term prospects.

President and Chief Executive of Dangote Industries Limited and Chairman of DPRP, Aliko Dangote, described the successful equity placement as a significant strategic achievement that would further strengthen the company’s future growth plans.

He said the transaction would broaden and institutionalise the company’s shareholder base while providing additional capital to complement internally generated cash flows and existing external financing.

According to him, the new funding would enable the refinery to accelerate its expansion agenda while advancing its mission of boosting Africa’s refining and petrochemical capacity.

“This transaction represents a strategic step to deepen and further institutionalise the enterprise’s shareholder base, while raising capital to complement our internal cash flows and external funding as DPRP advances its expansion agenda.

“It also demonstrates our unwavering commitment to developing Africa’s refining and petrochemical capacity, reducing dependence on imported petroleum products and strengthening the continent’s energy security,” Dangote said.

Also commenting on the successful fundraising, Managing Director and Chief Executive Officer of Dangote Petroleum Refinery and Petrochemicals, David Bird, said the overwhelming response from investors reflected confidence in the company’s operational excellence and future prospects.

He noted that the level of demand recorded during the placement underscored investors’ belief in the refinery’s execution capability, leadership and long-term growth potential.

“The exceptional demand we witnessed is a testament to our operational excellence, execution capability and the confidence investors have in DPRP’s leadership and future potential,” Bird said.

The company said the successful completion of the equity placement has positioned the refinery to accelerate its long-term growth strategy while enhancing Africa’s energy security through expanded world-scale refining and petrochemical capacity.

It added that the strong investor participation further reinforced confidence in its vision and ability to create sustainable value over the long term.

DPRP also expressed appreciation to its professional advisers and partners, acknowledging that their expertise and support played a crucial role in the successful execution of the transaction.

The latest capital injection is expected to further strengthen the financial position of the Dangote Refinery, which has emerged as one of Africa’s largest industrial projects and is central to efforts aimed at reducing the continent’s dependence on imported refined petroleum products while expanding petrochemical production.
